Terms of Service
Effective date: October 25, 2026
Status: Prelaunch version.
These Terms are an agreement between you and Novo Industries, Inc. ("we" or "us") for Novo Work (formerly Novo North, the "Service"). By using the Service, you agree to these Terms. If you use it for an organization, you confirm that you can bind it, and "you" means that organization.
1. Accounts
You must be at least 18, or the age of majority where you live if higher, and able to form a binding contract. Keep your sign-in details accurate and secure, and tell us promptly about unauthorized access. You are responsible for activity under your account.
2. Your content
You keep your rights in the content you provide ("Customer Data"). To the extent we have rights in output or Apps generated for you, we assign them to you. Output can resemble output for others, and AI-generated material may not be protected by copyright.
You give us a limited license to host, process, and transmit Customer Data to provide, secure, and support the Service. The license ends when the data is deleted, subject to the export, deletion, and retention described in the Privacy Policy. We do not use Customer Data to train AI models.
Content follows its sharing settings. Public links make content available outside your workspace, and content shared with a workspace can remain after you leave it.
3. AI work and output
Permissions govern Helper and Routine work. You are responsible for your instructions, actions taken for you within those permissions, and reviewing output before you rely on it or share it. Messages, changes, and purchases made with your authorization can bind you. Stopping a Task does not undo completed actions.
AI output can be inaccurate or incomplete. It is not legal, medical, financial, tax, or other professional advice.
4. Connected services and Apps
You must be authorized to connect accounts, use their data, and request actions in them. Third-party services have their own terms and privacy practices, and we are not responsible for them. You are responsible for Apps you publish and any data they collect, including under children's privacy laws.
Google Maps features are subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
We use Supabase infrastructure. You must not misuse it or violate its Acceptable Use Policy. To the extent permitted by law, Supabase makes no warranties to you and has no liability to you for those services. Supabase is a third-party beneficiary of these Terms solely to enforce these protections.
5. Acceptable use
You must follow our Acceptable Use Policy, which is part of these Terms.
6. Subscription and payment
Prices and the billing interval are shown before you buy. Fees are in US dollars and exclude taxes unless the price shown includes them. You are responsible for applicable taxes. Subscriptions are billed per member in advance and renew automatically at the interval shown until you cancel. You authorize us to charge your payment method for each renewal.
We set each member's usage allowance and may change it. It resets each billing period and does not roll over. When it is used up, that member's work may stop unless workspace credits are available.
A workspace owner can buy prepaid credits for members' usage in that workspace. Credits carry over between billing periods and can be used while the subscription is active. They have no cash value, cannot be transferred, and expire when the workspace is deleted. If an owner turns on automatic reload, you authorize us to charge the workspace's payment method the selected amount when the balance is below the threshold shown, until automatic reload is turned off.
A workspace owner can cancel at any time through Manage billing in Settings. Cancellation takes effect at the end of the current billing period. Fees and credits are non-refundable, including for partial periods, except where the law requires otherwise. If we end your access for a reason other than your breach, we will refund unused credits. We will give you advance notice of a price change and a chance to cancel before the new price applies.
7. Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only for this agreement. This excludes information that is public, already known, independently developed, or lawfully received from others. Either party may disclose information when the law requires it.
8. Suspension and termination
We may suspend or end your access immediately if you breach these Terms or create a security or legal risk, or for any other reason with 30 days' notice. After a subscription ends, the workspace has limited access to export supported files for 30 days. We begin permanent deletion 90 days after it ends unless the workspace is reactivated, as described in the Privacy Policy. Terms that by their nature should survive will survive.
9. Intellectual property and feedback
We own the Service, including its software and branding. These Terms give you only the right to use it as allowed here. If you send us feedback, we may use it without obligation to you.
10. Disclaimers
The Service and all output are provided "as is" and "as available." To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not promise that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.
12. Disputes
Delaware law governs these Terms, without regard to conflict-of-laws rules. Disputes will be heard in the state or federal courts in Delaware, and each party consents to their jurisdiction. This does not limit any mandatory protections or rights to bring a claim in another court under applicable law.
Nothing in these Terms limits rights or remedies that applicable law does not allow you to waive.
13. General
- Changes: We may update these Terms. We will give notice of material changes before they take effect. Continuing to use the Service after that means you accept the updated Terms, where the law allows.
- Events outside our control: Neither party is liable for delays or failures caused by events beyond its reasonable control, other than payment obligations.
- Entire agreement: These Terms, the Acceptable Use Policy, and any order form or separately executed agreement are the entire agreement. A separately executed agreement prevails over conflicting Terms. If a provision is unenforceable, the rest remain in effect. Not enforcing a provision is not a waiver. You may not assign this agreement without our consent. We may assign it in a merger, acquisition, or sale of assets.
- Export and sanctions: You may not use the Service in violation of export control or sanctions laws. You confirm that you are not in an embargoed country or on a restricted-party list.
- Notices: We may send notices by email or through the Service.
